Terms of Service

1. Parties

"We", "us", and "our" refers to JMJ Web Design Limited (company number 08668431), registered in England and Wales, trading as WP Care Pros.

"You" or "the client" refers to the individual or business entity that has applied for and been accepted onto a WP Care Pros care plan.

2. Services

We provide WordPress care plan services as described on our website and in your plan confirmation email. The specific services included depend on the plan level (Maintain, Build, or Partner) as detailed at the time of purchase.

We reserve the right to update or amend the services included in any plan with reasonable notice. Any material reduction in services will be communicated at least 30 days in advance.

Services are provided on a best-efforts basis. While we aim to respond to support requests within the times stated on our website, these are targets and not guaranteed service levels unless specifically agreed in writing for Partner plan clients.

We do not guarantee specific outcomes (e.g. particular Google PageSpeed scores or search rankings) unless explicitly stated in a separate written agreement.

3. Payment and billing

Care plan fees are billed monthly in advance via the payment method you provided during sign-up. Billing occurs on the same date each month (or the nearest working day).

All prices are in GBP and are exclusive of VAT where applicable. We are registered for VAT and will issue compliant VAT invoices.

If a payment fails, we will attempt to collect it up to three times over 7 days. If payment remains outstanding after 14 days, we reserve the right to suspend services until payment is received.

We may increase plan fees with 30 days' written notice. If you do not wish to continue at the new price, you may cancel in accordance with section 4.

4. Cancellation

You may cancel your care plan at any time by providing written notice (email is sufficient) to hello@wpcarepros.co.uk. Cancellation takes effect at the end of the current billing period — we do not offer refunds for the remaining portion of a billing month.

We may terminate services immediately if you: (a) fail to make payment within 14 days of it being due; (b) use our services unlawfully or in a way that damages our reputation; or (c) provide materially false information during application.

On termination, we will transfer any files or data we hold on your behalf within 14 days of your request.

5. Your responsibilities

To enable us to provide the services, you agree to:

• Provide timely access to your WordPress site, hosting, and domain management — including credentials when required.
• Ensure you have the right to grant us access to the site and any third-party services associated with it.
• Maintain valid payment details at all times.
• Notify us promptly if you become aware of any security incident or unusual activity on your site.
• Not use our included development time for work that constitutes a full site rebuild or significant new feature development unless agreed separately.

We are not responsible for any issues arising from your failure to provide timely access, or from changes you or third parties make to the site outside of our involvement.

6. Our responsibilities

We agree to:

• Provide the services described in your plan with reasonable care and skill.
• Keep your credentials and site data confidential (see section 9).
• Notify you promptly of any security incidents affecting your site that we become aware of.
• Perform backups and maintenance in accordance with the schedule described for your plan.
• Give you reasonable notice of any changes to services or pricing.

7. Limitation of liability

We are not liable for any loss or damage that is not caused by our negligence or breach of these terms. In particular, we are not liable for:

• Loss of revenue, profit, or business opportunity.
• Data loss resulting from events outside our reasonable control.
• Third-party service failures (hosting providers, plugin developers, DNS registrars).
• Damage caused by changes you or unauthorised third parties make to your site.

Our total liability to you under or in connection with these terms (whether in contract, tort, or otherwise) is limited to the total fees paid by you in the 3 months preceding the claim.

Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

8. Intellectual property

You retain ownership of all content and materials you provide to us or that exist on your website. Any custom code, designs, or assets we create specifically for you as part of included development time become your property upon payment of all outstanding fees.

We retain ownership of any pre-existing tools, templates, or processes we use in delivering the services.

9. Confidentiality

We will keep confidential all information you provide to us that is reasonably understood to be confidential — including login credentials, business information, and technical details of your site. We will not share this information with third parties except where required to deliver the services (e.g. a hosting provider we use on your behalf) or as required by law.

This obligation does not apply to information that is or becomes publicly available through no fault of ours.

10. Governing law

These terms are governed by the laws of England and Wales. Any disputes arising from these terms or the services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to these terms

We may update these terms from time to time. We will notify you by email at least 14 days before any material changes take effect. Your continued use of our services after that date constitutes acceptance of the updated terms. If you do not accept the changes, you may cancel in accordance with section 4.
